1. Agreement to Terms
By accessing or using the website at cursivetech.com (the "Site") or engaging Cursive Technologies Pvt Ltd ("Company," "we," "us," or "our") for services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Site or services.
2. Services
Cursive Technologies Pvt Ltd provides custom enterprise resource planning (ERP) software development and related technology consulting services. Our services include but are not limited to:
- Custom ERP application design, development, and deployment
- ERP module development (Finance, Inventory, HR, CRM, Manufacturing, Procurement, etc.)
- Legacy ERP migration and data transfer services
- Systems integration and API development
- Ongoing support, maintenance, and optimization
- Discovery Sessions, technology consulting, and project scoping
Specific scope, deliverables, timelines, and pricing for any engagement are governed by a separate Statement of Work (SOW) or service agreement executed between the parties.
3. Discovery Session
Our Discovery Session is a paid assessment engagement designed to evaluate your business requirements and produce a detailed project roadmap. The fee, scope, and deliverables for the Discovery Session are communicated prior to engagement. The Discovery Session fee is non-refundable once the session has commenced. Insights and deliverables from the Discovery Session remain confidential and subject to Section 8 of these terms.
4. Payment Terms
- All fees will be outlined in the applicable SOW or service agreement.
- Payment schedules typically follow milestone-based delivery.
- Invoices are due within 15 business days of issuance unless otherwise agreed.
- Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
- We reserve the right to suspend work if payment remains outstanding beyond 30 days.
- All fees are exclusive of applicable taxes unless explicitly stated otherwise.
5. Intellectual Property
5.1 Client Deliverables
Upon full payment, all custom code, designs, and documentation developed exclusively for the client under a SOW are assigned to the client. This includes application source code, database schemas, and custom UI components developed specifically for the project.
5.2 Company Tools & Frameworks
Pre-existing tools, frameworks, libraries, and reusable components developed by Cursive Technologies Pvt Ltd remain the intellectual property of Cursive Technologies Pvt Ltd. The client is granted a non-exclusive, perpetual license to use such components within the delivered application.
5.3 Third-Party Components
Open-source or third-party components used in the project are governed by their respective licenses. We will document all third-party dependencies and their license terms.
6. Client Responsibilities
- Provide timely access to required data, systems, and stakeholders.
- Designate a primary point of contact for project communications.
- Review and provide feedback on deliverables within agreed timelines.
- Ensure the accuracy of business requirements and data provided.
- Maintain backups of existing systems and data before migration.
7. Warranties & Disclaimers
7.1 Service Warranty
We warrant that services will be performed in a professional and workmanlike manner consistent with prevailing industry standards. If a deliverable does not conform to the agreed specifications in the SOW, we will re-perform the non-conforming work at no additional cost, provided the client notifies us within 30 days of delivery.
7.2 Website Disclaimer
The information on this website is provided "as is" for general informational purposes. While we strive to keep the information current and accurate, we make no warranties or representations of any kind about the completeness, accuracy, reliability, or suitability of the information. Case study results and project outcomes referenced on this Site are illustrative and do not guarantee similar results.
8. Confidentiality
Both parties agree to keep confidential all proprietary information, business processes, financial data, and technical specifications exchanged during the engagement. Confidentiality obligations survive for 3 years after termination of services. This does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
9. Limitation of Liability
To the maximum extent permitted by law, Cursive Technologies Pvt Ltd's total liability for any claim arising out of or related to our services shall not exceed the total fees paid by the client under the applicable SOW in the 12 months preceding the claim. In no event shall either party be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
10. Termination
- Either party may terminate the engagement with 30 days' written notice.
- Upon termination, the client shall pay for all work completed and expenses incurred up to the termination date.
- Completed deliverables for which full payment has been made will be delivered to the client.
- Either party may terminate immediately if the other party materially breaches these terms and fails to cure the breach within 15 days of written notice.
11. Indemnification
Each party agrees to indemnify and hold harmless the other party against any claims, damages, losses, and expenses arising from the indemnifying party's negligence, willful misconduct, or breach of these terms.
12. Use of the Website
- You may not use this Site for any unlawful purpose or in violation of these terms.
- You may not attempt to gain unauthorized access to any part of the Site or its infrastructure.
- You may not scrape, copy, or reproduce website content without written permission.
- We reserve the right to restrict access to the Site at our sole discretion.
13. Force Majeure
Neither party shall be liable for failure to perform obligations caused by circumstances beyond its reasonable control, including natural disasters, pandemics, government actions, wars, labor disputes, infrastructure failures, or cyberattacks.
14. Governing Law & Dispute Resolution
These terms are governed by the laws of the jurisdiction in which the applicable SOW is executed. Any disputes arising from these terms shall first be resolved through good-faith negotiation between the parties. If a resolution cannot be reached within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration association in the relevant jurisdiction.
15. Changes to These Terms
We reserve the right to modify these terms at any time. Updated terms will be posted on this page with a revised "Last updated" date. Continued use of the website or services after any changes constitutes acceptance of the revised terms.
